These Terms of Service ("Terms") govern your access to and use of the Zonitron Electronics LP website, products, and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to any part of these Terms, you may not use our services.

2. Definitions

"Services" refers to all products, services, and content provided by Zonitron Electronics LP, including but not limited to power management integrated circuits (ICs), design services, testing services, technical documentation, and support.

"Product" means any power management IC, electronic component, or related hardware manufactured, designed, or distributed by Zonitron Electronics LP.

"User" or "You" refers to any individual, business entity, or organization accessing or using our Services.

3. Use of Services

3.1 License Grant

Zonitron Electronics LP grants you a limited, non-exclusive, non-transferable license to access and use our Services for lawful purposes only. You may not use our Services for any illegal or unauthorized purpose, nor may you violate any laws or regulations applicable to your jurisdiction.

3.2 Restrictions

You agree not to:

  • Reproduce, duplicate, or copy Services for resale or commercial purposes without written permission
  • Reverse engineer, disassemble, decompile, or attempt to derive source code of any software or firmware
  • Modify or create derivative works of our Products or Services
  • Use our Services for unauthorized benchmark testing or competitive analysis
  • Remove or alter any proprietary notices, labels, or marks on Products or Services
  • Transmit malware, viruses, or any code of destructive nature
  • Engage in any activity that disrupts or interferes with our Services

4. Intellectual Property Rights

4.1 Ownership

All content, designs, technologies, software, firmware, documentation, and intellectual property related to Zonitron Electronics LP Products and Services are the exclusive property of Zonitron Electronics LP or its licensors. This includes but is not limited to patents, trademarks, copyrights, trade secrets, and proprietary designs. You acquire no ownership rights by using our Services.

4.2 Limited Use Rights

Upon purchase or licensing of Products, you receive a limited, revocable right to use the Product in accordance with its documentation and applicable license terms. All other rights are reserved by Zonitron Electronics LP.

5. Product Warranty and Disclaimer

5.1 Limited Warranty

Zonitron Electronics LP warrants that Products will conform to the specifications provided in their official datasheets and technical documentation for a period of twelve (12) months from the date of purchase. This warranty applies only to manufacturing defects and does not cover damage caused by misuse, improper handling, modification, or unauthorized repair.

5.2 Disclaimer of Other Warranties

EXCEPT AS EXPRESSLY STATED IN SECTION 5.1, ZONITRON ELECTRONICS LP DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Products and Services are provided "AS IS" without any warranty of any kind.

5.3 Product Performance

While we strive to provide Products that meet design specifications, Zonitron Electronics LP does not guarantee that Products will be error-free or will meet all customer requirements. Customers are responsible for evaluating whether Products are suitable for their intended applications.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZONITRON ELECTRONICS LP SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunity
  • Cost of substitute goods or services
  • Personal injury or property damage caused by Products
  • Any damages arising from improper use, modification, or unauthorized repair

In no event shall Zonitron Electronics LP's total liability exceed the purchase price of the Product that caused the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless Zonitron Electronics LP, its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of our Services; (b) your breach of these Terms; (c) your violation of applicable laws; or (d) your infringement of third-party intellectual property rights.

8. Confidential Information

8.1 Confidentiality Obligations

If Zonitron Electronics LP discloses confidential information, trade secrets, or proprietary designs to you, you agree to maintain strict confidentiality and not disclose such information to third parties without written consent. This obligation does not apply to information that is: (a) publicly available; (b) rightfully possessed before disclosure; (c) required to be disclosed by law; or (d) developed independently without reference to the confidential information.

9. Payment Terms

9.1 Pricing and Payment

All prices are in Canadian dollars (CAD) unless otherwise stated. Payment is due according to the invoice terms agreed upon at the time of sale. Zonitron Electronics LP reserves the right to suspend Services or withhold delivery of Products if payment is not received within agreed timeframes.

9.2 Late Payment

If payment is not received by the due date, Zonitron Electronics LP may charge interest at the rate of 1.5% per month (18% annually) on the outstanding balance, or the maximum rate permitted by applicable law, whichever is lower.

9.3 Taxes

All prices exclude applicable taxes, including HST (Harmonized Sales Tax) where applicable. You are responsible for paying all applicable taxes unless a valid tax exemption certificate is provided.

10. Termination

Zonitron Electronics LP may terminate these Terms and your access to Services immediately, without notice, if:

  • You breach any material term of these Terms
  • You engage in illegal or unauthorized activity
  • You fail to pay for Products or Services
  • Your use poses a risk to our business or reputation

Upon termination, all licenses and rights granted to you shall immediately cease, and you must return or destroy all Products and confidential information in your possession.

11. Compliance with Laws

You agree to comply with all applicable federal, provincial, municipal, and international laws and regulations governing your use of our Services and Products. Zonitron Electronics LP complies with all export control laws and regulations, including those of Canada and any applicable jurisdictions. You shall not use Products in violation of export laws or for restricted end-uses.

12. Data Protection and Privacy

Our collection and processing of personal information is governed by our Privacy Policy. By using our Services, you consent to the collection and processing of your data as described in our Privacy Policy. We comply with applicable privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) in Canada and similar regulations where applicable.

13. Third-Party Content and Links

Our Services may contain links to third-party websites and resources. Zonitron Electronics LP is not responsible for the content, accuracy, or practices of third-party sites. Your use of third-party services is governed by their terms and conditions, and we encourage you to review their policies before providing personal information.

14. Modifications to Terms

Zonitron Electronics LP reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our Services following any modifications constitutes your acceptance of the modified Terms. We will notify you of significant changes via email or prominent notice on our website.

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflicts of law provisions.

15.2 Jurisdiction and Venue

You agree that any legal action or proceeding relating to these Terms or your use of our Services shall be brought exclusively in the courts located in Ottawa, Ontario, Canada. You irrevocably submit to the jurisdiction of such courts.

15.3 Dispute Resolution

Before initiating legal proceedings, the parties agree to attempt to resolve any dispute through good faith negotiation. If negotiation fails within thirty (30) days, either party may pursue legal remedies available under applicable law.

16. Warranty Claims and Returns

16.1 Warranty Claim Process

To submit a warranty claim, you must: (a) notify Zonitron Electronics LP within thirty (30) days of discovering the defect; (b) provide proof of purchase; (c) describe the defect in detail; and (d) cooperate in troubleshooting efforts. Claims submitted after twelve (12) months from purchase are not eligible for warranty coverage.

16.2 Remedy

At Zonitron Electronics LP's sole discretion, warranty remedies are limited to repair or replacement of the defective Product, or a full refund of the purchase price. We do not cover return shipping costs unless the defect is covered under warranty.

17. Hazardous Materials

Our Products may contain hazardous materials as defined by applicable environmental and safety regulations. You are responsible for proper handling, storage, and disposal of Products in compliance with all applicable laws. Material Safety Data Sheets (MSDS) are available upon request. For electronic waste disposal, please contact your local environmental authority.

18. Prohibited Uses

You agree not to use our Products or Services for:

  • Medical devices or life-critical applications without prior written authorization and appropriate certification
  • Military, defense, or weapons applications without explicit authorization
  • Nuclear applications or facilities
  • Aerospace applications without appropriate approvals
  • Any application that violates export control or sanctions laws
  • Illegal activities or activities that violate applicable laws

19. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Zonitron Electronics LP regarding your use of our Services and Products. These Terms supersede all prior agreements, negotiations, and understandings, whether written or oral.

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

21. Waiver

The failure of Zonitron Electronics LP to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Zonitron Electronics LP.

23. Acknowledgment

By using our Services or purchasing our Products, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service in their entirety. If you do not agree with any provision of these Terms, you must immediately discontinue your use of our Services.
